Cluj-Napoca/Romania, February 27, 2024 – # RBJ – AROBS Transilvania Software (BVB: AROBS), the largest technology company listed on the Bucharest Stock Exchange, announces the full takeover of the Infobest group, specialized in the development of customized software solutions, with offices in Timisoara and Leverkusen, Germany.
“We are pleased to announce the tenth M&A transaction since the listing of AROBS shares on the Bucharest Stock Exchange, a significant milestone that underlines our commitment to the strategic growth of the group and the strengthening of AROBS’s presence locally and internationally. We were driven to complete this transaction given the extremely good prospects of Infobest and our objective to strengthen our position in Germany and the DACH region. Through this strategic move, we are expanding both our technology capabilities and our portfolio of clients, to whom we will continue to provide complex software solutions for an increasingly sophisticated technology market. Together we will achieve superior results, building on our strong synergies in the automotive and telecommunications fields,” said Voicu Oprean, founder and CEO of AROBS.
Infobest was founded in 1995 in Pulheim, Germany, by entrepreneurs Yvonne Abstoss-Becker and Christian Becker, and in 2000, the company opened an office in Timisoara. Currently, Infobest has a team of more than 100 specialists in the development of customized software solutions for the e-commerce, manufacturing, automotive, telecommunications, finance, media and communications industries, covering the entire life cycle of an application – from the analysis of business, architecture and UX design to development, testing and maintenance. Infobest has a strong presence in the DACH market with many long-term customers ranging from mid-sized companies to multinational corporations, including global market leaders in the automotive, telecommunications and manufacturing industries.
Regarding the motivation to join AROBS, Christian Becker, co-founder of Infobest, explained: “We are happy to join forces with the AROBS group and to have a partner by our side to take Infobest to the next level. Based on recent successful years with continued revenue growth, we decided to join AROBS to overcome the limitations of organic growth and grow the business at an accelerated pace.”
The management of the company will continue to be ensured by Christian Becker and Yvonne Abstoss-Becker. The financial results of Infobest will be included in the consolidated financial statements of AROBS upon completion of the transaction, which is subject to the fulfillment of certain conditions and regulatory approval. For 2023, the Infobest group estimates a turnover of approximately 4.8 million euros.
“After interacting with several potential investors, we immediately felt comfortable talking to AROBS and Voicu. Although we share the same core values of people management and stable, long-term client relationships, both our skills and client portfolio are complementary, which provides excellent opportunities for synergies and joint business development. Through this transaction, we gain the support of a much broader skill base than ours, which we can combine with our business development efforts. Although the ownership of Infobest is changing, both Christian and I will remain involved in the company to assist in the transition and synergy process,” added Yvonne-Abstoss Becker, co-founder of Infobest.
By acquiring Infobest, AROBS strengthens its presence on the Romanian and German markets, its expertise in the business line, Software Services, and accesses new industries, such as telecommunications, media and communication. This is the tenth transaction carried out by AROBS since the closing of the private placement in October 2021. During this period, AROBS acquired Berg Software, AROBS Engineering (former business line Enea Software Development Services Romania), Nordlogic group, Centrul de Soft GPS Romania, AROBS Pannonia, two entities from the Republic of Moldova, AROBS Software and AROBS TrackGPS, AROBS Polska (formerly SYDERAL Polska from Poland), and Future WorkForce Group (FWF).
On behalf of AROBS, the transaction was facilitated by the law firm, Radu Tărăcila Pădurari Retevoescu (RTPR) as legal advisor and TS Partners for financial due diligence. Infobest was assisted by Clairfield International GmbH and PPR & Partner Pape Rauh Rechtsanwälte Part GmbB.
